1. General Conditions

1.1 We reserve the right to refuse service to anyone for any reason at any time.

2.3 Custom and OEM Products

For custom or OEM orders:

Specifications, designs, and requirements will be confirmed in writing before production
Custom products are non-refundable once production has commenced, unless there is a manufacturing defect
Lead times for custom products may vary and will be communicated during the quotation process
Tooling charges, if applicable, are separate from unit pricing and are non-refundable

3. Pricing and Payment

3.1 Pricing

3.1.1 All prices are quoted in US Dollars (USD) unless otherwise stated.

3.1.2 Prices are subject to change without notice. We reserve the right to modify prices at any time.

3.1.3 Quoted prices are valid for 30 days from the date of quotation unless otherwise specified.

3.1.4 Prices do not include applicable taxes, customs duties, import fees, or shipping costs unless explicitly stated.

3.2 Payment Terms

We accept the following payment methods:

Telegraphic Transfer (T/T): 30% deposit upon order confirmation, 70% balance before shipment
Letter of Credit (L/C): Irrevocable L/C at sight from a reputable bank
Western Union or MoneyGram for smaller orders
Other payment terms may be negotiated for established customers

3.2.1 All payments must be made in full without any deductions or set-offs.

3.2.2 We reserve the right to refuse any order and will refund payments in full if an order is declined.

4. Shipping and Delivery

4.1 Shipping Terms

4.1.1 We offer international shipping via sea freight, air freight, or express courier services.

4.1.2 Shipping terms are based on Incoterms 2020 (e.g., FOB, CIF, EXW, DDP) as agreed upon in the purchase contract.

4.1.3 Standard lead time for in-stock products is 7-15 business days after payment confirmation.

4.1.4 Lead time for custom or made-to-order products will be specified in the quotation.

4.2 Delivery

4.2.1 Estimated delivery times are provided in good faith but are not guaranteed.

4.2.2 We are not liable for delays caused by customs clearance, weather events, port congestion, or other circumstances beyond our control.

4.2.3 Risk of loss and title to the products pass to the buyer in accordance with the agreed Incoterm.

4.3 Import Duties and Taxes

4.3.1 The buyer is responsible for all import duties, taxes, customs clearance fees, and any other charges imposed by the destination country.

4.3.2 We provide all necessary export documentation including commercial invoices, packing lists, bills of lading, and certificates of origin.

5. Returns, Refunds, and Warranty

5.1 Return Policy

5.1.1 Standard products may be returned within 14 days of delivery if they are unused, in original packaging, and in resalable condition.

5.1.2 Custom or OEM products are non-refundable unless there is a verified manufacturing defect.

5.1.3 The buyer bears the cost of return shipping unless the return is due to our error or a product defect.

5.1.4 All returns must be pre-authorized by our customer service team. Unauthorized returns will not be accepted.

5.2 Refund Policy

5.2.1 Refunds will be processed within 14 business days after we receive and inspect the returned product.

5.2.2 Refunds will be issued to the original payment method. Shipping costs are non-refundable.

5.2.3 A restocking fee of up to 15% may apply to returned standard products.

5.3 Warranty

5.3.1 All products come with a standard warranty of 12 months or 2,000 operating hours (whichever comes first) from the date of delivery, unless otherwise specified.

5.3.2 The warranty covers manufacturing defects in materials and workmanship under normal use.

5.3.3 The warranty does not cover:

Damage caused by misuse, abuse, negligence, or improper maintenance
Normal wear and tear of consumable parts (filters, belts, brushes, etc.)
Modifications or repairs performed by unauthorized third parties
Damage caused by natural disasters, accidents, or improper storage

5.3.4 Warranty claims must be submitted in writing with supporting documentation (photos, videos, description of the issue).

5.3.5 Our obligation under warranty is limited to repair, replacement of defective parts, or replacement of the product at our discretion.

6. Intellectual Property

6.1 All content on the Site, including text, images, graphics, logos, videos, software, and product designs, is the property of Yuncheng Dinglang Machinery Equipment Co., Ltd. or its licensors and is protected by applicable intellectual property laws.

6.2 You may not use, reproduce, modify, distribute, or display any of our intellectual property without our prior written consent.

6.3 Our trademarks, logos, and service marks may not be used in connection with any product or service without our prior written consent.

7. Limitation of Liability

7.1 To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Site or our products.

7.2 Our total liability for any claim arising from the sale of products shall not exceed the purchase price of the specific product giving rise to the claim.

7.3 We shall not be liable for any loss of profit, loss of business, business interruption, or loss of business opportunity.

7.4 We shall not be liable for any damages arising from delays or failures in delivery caused by circumstances beyond our reasonable control (force majeure).

8. Indemnification

You agree to indemnify, defend, and hold harmless Yuncheng Dinglang Machinery Equipment Co., Ltd., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from:

Your use of the Site or our products
Your violation of these Terms
Your violation of any rights of a third party
Any misrepresentation made by you

9. Dispute Resolution

9.1 These Terms shall be governed by and construed in accordance with the laws of the People’s Republic of China, without regard to its conflict of law provisions.

9.2 Any disputes arising from or in connection with these Terms or the products purchased through the Site shall first be resolved through good-faith negotiation between the parties.

9.3 If negotiation fails, disputes shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in accordance with its rules in effect at the time of the dispute.

9.4 The arbitration shall take place in Beijing, China. The language of arbitration shall be English.

9.5 The arbitral award shall be final and binding on both parties.

10. Force Majeure

We shall not be liable for any failure or delay in performance under these Terms due to causes beyond our reasonable control, including but not limited to:

Natural disasters, epidemics, or pandemics
War, terrorism, riots, or civil unrest
Government actions, sanctions, or trade restrictions
Strikes, labor disputes, or industrial actions
Power failures, network outages, or telecommunications failures
Supply chain disruptions or raw material shortages

11. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

12. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms referenced herein, constitute the entire agreement between you and us regarding your use of the Site and purchase of products. These Terms supersede any prior agreements, representations, or understandings.

13. Changes to These Terms

We reserve the right to update or modify these Terms at any time. Changes will be effective immediately upon posting on this page with a new “Last Updated” date. Your continued use of the Site after any changes constitutes your acceptance of the revised Terms.
